Nationals Win Appellate Court Victory In MASN Dispute With Orioles

There was a key development in the long-running battle between the Orioles and Nationals over local broadcasting fees this morning. The New York Court of Appeals, the state’s highest court, ruled in favor of the Nationals after a hearing on unpaid rights fees (full judgment transcript).

The Nationals and Orioles jointly own the Mid-Atlantic Sports Network (MASN), which carries local broadcasting rights for both clubs. The Baltimore organization has a majority share (presently around 76%, dropping to 67% by 2032). That came as part of the agreement between the Orioles and Major League Baseball to facilitate the relocation of the Expos from Montreal to Washington — into the Orioles’ territorial range — nearly two decades ago.

As part of that deal, the sides agreed to share telecasting money owed by MASN to the clubs for broadcasting rights. An arbitration panel was created to resolve possible disputes between the franchises in calculating those fees. After the sides failed to come to an agreement for the period covering 2012-16, the issue went to arbitration. The panel — a committee made up of representatives from three other MLB teams — ruled closer to the Nationals’ desired number than the Orioles had found appropriate (albeit nearer to the O’s proposed figure than Washington’s). Baltimore and MASN appealed, questioning the league’s impartiality.

A court found in the Nationals’ and league’s favor on that issue back in 2019. The court ruled the network owed the Nationals roughly $105MM in unpaid rights fees. The Orioles appealed that decision, which was finally resolved today.

The appellate court’s judgment was unanimously in favor of the Nationals on the issue of impartiality. The higher court agreed there were no grounds for contesting the arbitration panel’s findings. (Hayes Gardner of the Baltimore Sun notes the Orioles have the right to petition the U.S. Supreme Court for review but suggests it’s unlikely the Court would have any interest in hearing the appeal.)

While it’s certainly a win for the Nationals, the New York court’s judgment wasn’t an unequivocal end to the dispute. The appellate court found the lower court had overstepped its authority in awarding the $105MM in past damages. While the arbitration panel’s ruling is no longer in dispute (barring a seeming unlikely successful appeal to the U.S. Supreme Court), the organizations have to return to the table to sort out the extent and payment of MASN’s overdue rights fees pursuant to a separate provision of their contract.

Uncertainty about the MASN rights payments has been an ongoing issue for both franchises for over a decade. It was particularly troublesome over the offseason, as the Lerner family’s attempts to sell the Nationals have reportedly stalled in recognition of the local broadcasting dispute. Even with a key legal victory now in hand, the dispute doesn’t appear to be coming to a close anytime soon as the sides regroup to sort out how much money the network owes to the Nats. MLB has sought to broker a permanent settlement between the Nationals and Orioles to facilitate a potential sale of the Washington franchise but has thus far been unsuccessful.

      It doesn’t seem very fair. The Orioles have been in Baltimore continuously since 1954. The organization has been around since 1901. It”s their territory. It doesn’t seem as if MLB is holding up it’s end of the deal as far as TV rights go when they talked the O’s into letting Washington try for the third time to hold onto a team.

        The Washington Senators were located in DC starting in 1901 and they allowed the St. Louis Browns to move to Baltimore in 1954 without any payment or compensation.

        And it is the Orioles who are not complying with the deal they signed with MLB. That deal gave them significant benefits. And their response is to go to court in to order to avoid paying the minimal rights fees mandated by the process explicitly laid out in the contract they signed with MLB.

          The original Senators were in Washington from 1901 to 1960. They left, giving the broadcast rights to Baltimore by default. The Senators reformed in 1961, then again left in 1971 while the Orioles stayed put. When the second iteration of the Senators. fell apart, the O’s again were still there. Then, from 1973 to 2004 there was no team in Washington, but there was one in Baltimore. It was a mistake to put yet another team in Washington thanks to political power but by then – if not before – the majority of the broadcast rights rights belonged to Baltimore, as it should be. If the Orioles owe the Senators money, OlI agree they should be paid before they leave for the third time.

        Baseball weak commish caved in to Angelo’s. This mess has hampered the NATS with the post WS ‘19 ring team sell off of top talent! Had the payment of MASN portion been done, another NATS team & story / sale would be in place today!

        NATS go screwed ! We’ve been going to NATS games since they came to town: Baseball fans in DC and Virginia have never been O’s loyal…and since Senators, the baby boomers & kids no way O’s! and even less so when NATS came.
        Baseball’s weak commish caved in to Angelo’s. This mess has hampered the NATS with the post WS ‘19 ring team sell off of top talent! Had the payment of MASN portion been done, and a fair renegotiation, another NATS team & story / regarding their sale would be in place today!
        Today I live 6 hrs away south from DC and NATS games are blacked out on MLB Netwk cause of Angelo’s & MASN tv rights! Stupid!

        Whatever. Consistently put a product on the field worth watching and you won’t need to worry about territory. If Baltimore actually tried to field a competitive team consistently then they wouldn’t need to worry about losing fans to an upstart franchise. That franchise has been perennial trash for decades. Here’s a thought…try to be a good team for a change.

    Always burnt my craw when Orioles ownership would say they can’t spend too freely in free agency until they had resolution on the MASN issue. Like somehow the club would have less money if the Nats won. The club would have more money if the rights fee payouts increase. The ownership group would have less.

    What gets lost in this is that neither the “Orioles” nor the “Nationals” own MASN; it’s not a subsidiary of an MLB franchise. Rather, the ownership groups of those teams own MASN as an entity separate from MLB. It’s not semantics. At one point Forbes had valued the Angelos’ share of MASN as worth more than the Orioles themselves.

    As part of the original agreement, while the Orioles group has controlling interest in the entity, rights fees paid out to the teams are equal. Both teams collect funds from MASN, and both teams get the same payout.

    By keeping money in MASN, the Angelos family could more freely do what they want with it without MLB oversight. The money actually paid to the clubs gets reported to MLB for revenue sharing purposes.

    Their controlling interest also lets them control how the MASN entity spends its money. Theyve been saying this whole time they think its smarter to reinvest those funds into the network, than pay it out to the clubs. Which on its face is arguably true (or at least was when this fight started, before RSN’s started dying), but the accusation from the Nats group was that they were “reinvesting it” in Angelos’ friends and family pockets, ducking MLB revenue sharing rules, and pocketing it without investing it either in MASN or the roster.

    Think the higher rights fees payouts are good for both the Nats and Os, good for baseball and bad for the Angelos family.

      Both teams DON’T get the same payout. The Orioles get 76% of the combined revenue generated by MASN minus expenses and the Nationals get 24% as per the agreement signed by MLB.

      No part of lawsuit mentions ANYTHING about money being illegally diverted to the Angelos or their friends pockets. It is 100% about how much MASN valued the broadcasting rights as vs what the Nationals valued those broadcasting rights at. The Nationals won and MASN will have to pay the National’s their share based on that valuation, not the lower valuation the Nationals had been paid on already.

      Please read the judgement. It lays that all out.

    Territorial rights could become huge now with the athletics moving to Las Vegas; they were blocked on spots by the giants. Once Tampa bay is figured out mlb has talked about expansion of 2 more teams. Which means that 2 teams were have territorial rights issues come into play soon. Resulting lots of money changed by territorial rights

      It’s going to be hard to bring the Yankees, Dodgers, Red Sox, Cubs (and probably some others) into the fold with this idea though.

      I agree splitting evenly (or at least more evenly) makes the most sense, I just think your going to have issues with that.

      Remember, virtually every labor issue is Players vs. Big Owners vs. Little Owners. This subject will be virtually no different.

        Many fans point to the NFL model, ignoring that the NFL has massive national TV contracts that are shared equally, but little in the way of local TV deals. There’s no equivalent local TV and RSN model in the NFL, so the comparison is disingenuous. MLB does share its national TV revenue equally. For obvious reasons, they can’t do the same on the local level.

      MLB is headquartered in New York, so, the panel hearing the arbitration was based in NY and run under NY laws.

      To challenge the actions by MLB here they went to a court that has jurisdiction over MLB itself

    Interesting. That ruling values the Nationals TV rights at over $190 million annually. The Orioles still are due 76% of that because of the deal MLB signed to allow the Nationals to move into the Orioles territory, but that still seems like a huge number.
